One of them is: <em data-start=\"620\" data-end=\"728\">Against whom must a <a href=\"https:\/\/www.mth-partner.de\/en\/receive-your-72-hour-emergency-plan\/\">Ruling of the Federal Labor Court<\/a> actually be judged if the employer is insolvent?<\/em><br data-start=\"728\" data-end=\"731\" \/>At first, this sounds like a side note from the jungle of paragraphs. In practice, however, it can decide whether a lawsuit is successful at all.<\/p>\n<p data-start=\"888\" data-end=\"1236\">Let's imagine the whole thing as a relay race: When insolvency proceedings are opened, the employer hands over the baton - i.e. the administration and responsibility - to the insolvency administrator. But what happens when the administrator hands the baton back again? This is exactly what the Federal Labour Court (BAG) had to clarify in a case from 2013.<\/p>\n<h3 data-start=\"1238\" data-end=\"1296\"><span class=\"ez-toc-section\" id=\"Warum_spielt_die_Sachlegitimation_eine_so_grose_Rolle\"><\/span>Why does material legitimacy play such an important role?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p data-start=\"1297\" data-end=\"1517\">In civil and labour law, it is not enough that a claim may exist. It is also decisive who is authorised to assert it and against whom it is directed.<br data-start=\"1478\" data-end=\"1481\" \/>Two terms take centre stage:<\/p>\n<ul data-start=\"1519\" data-end=\"1660\">\n<li data-start=\"1519\" data-end=\"1584\">\n<p data-start=\"1521\" data-end=\"1584\"><strong data-start=\"1521\" data-end=\"1542\">Active legitimisation<\/strong>: Can the plaintiff enforce the law?<\/p>\n<\/li>\n<li data-start=\"1585\" data-end=\"1660\">\n<p data-start=\"1587\" data-end=\"1660\"><strong data-start=\"1587\" data-end=\"1609\">Passive legitimisation<\/strong>Is the action being brought against the right person?<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"1662\" data-end=\"1856\">These lines quickly become blurred, especially when a company becomes insolvent. The Insolvency Code gives the administrator far-reaching powers - but not always and not without restrictions.<\/p>\n<h3 data-start=\"1858\" data-end=\"1884\"><span class=\"ez-toc-section\" id=\"Was_besagt_das_Gesetz\"><\/span>What does the law say?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p data-start=\"1885\" data-end=\"1925\">Two regulations play together here:<\/p>\n<ol data-start=\"1927\" data-end=\"2139\">\n<li data-start=\"1927\" data-end=\"2013\">\n<p data-start=\"1930\" data-end=\"2013\"><strong data-start=\"1930\" data-end=\"1951\">\u00a7 Section 108 (1) InsO<\/strong> says: Employment relationships remain in place despite insolvency.<\/p>\n<\/li>\n<li data-start=\"2014\" data-end=\"2139\">\n<p data-start=\"2017\" data-end=\"2139\"><strong data-start=\"2017\" data-end=\"2037\">\u00a7 Section 80 (1) InsO<\/strong> explains: When insolvency proceedings are opened, the insolvency administrator assumes the role of employer.<\/p>\n<\/li>\n<\/ol>\n<p data-start=\"2141\" data-end=\"2395\">Sounds clear, doesn't it? But then Section 35 (2) InsO comes into play: the administrator can release an independent activity of the debtor. This means that responsibility for this activity - and everything associated with it - falls back to the debtor.<\/p>\n<h3 data-start=\"2397\" data-end=\"2456\"><span class=\"ez-toc-section\" id=\"Der_Fall_Ein_Kundigungsschutzverfahren_im_Grenzbereich\"><\/span>The case: Dismissal protection proceedings in the border area<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p data-start=\"2457\" data-end=\"2510\">A brief outline of the process to make the situation more tangible:<\/p>\n<ul data-start=\"2512\" data-end=\"2869\">\n<li data-start=\"2512\" data-end=\"2566\">\n<p data-start=\"2514\" data-end=\"2566\">A sole trader operates a courier service.<\/p>\n<\/li>\n<li data-start=\"2567\" data-end=\"2661\">\n<p data-start=\"2569\" data-end=\"2661\">He cancels a driver's contract without notice - <em data-start=\"2604\" data-end=\"2621\">five days before<\/em> insolvency proceedings are opened.<\/p>\n<\/li>\n<li data-start=\"2662\" data-end=\"2780\">\n<p data-start=\"2664\" data-end=\"2780\">Once the insolvency proceedings have been opened, the insolvency administrator immediately hands the self-employed activity back to the entrepreneur.<\/p>\n<\/li>\n<li data-start=\"2781\" data-end=\"2869\">\n<p data-start=\"2783\" data-end=\"2869\">The driver files an action for unfair dismissal - but <strong data-start=\"2836\" data-end=\"2868\">against the insolvency administrator<\/strong>.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2871\" data-end=\"3054\">At this point, the central question arises: Who is still responsible for the employment relationship after the activity has been released? The administrator or the entrepreneur again?<\/p>\n<h3 data-start=\"3056\" data-end=\"3079\"><span class=\"ez-toc-section\" id=\"Die_Antwort_des_BAG\"><\/span>The BAG's response<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p data-start=\"3080\" data-end=\"3190\">The Federal Labour Court ruled clearly: <strong data-start=\"3121\" data-end=\"3190\">The insolvency administrator was not the correct addressee of the claim.<\/strong><\/p>\n<p data-start=\"3192\" data-end=\"3495\">Why?<br data-start=\"3198\" data-end=\"3201\" \/>Because the release of the self-employed activity affects not only the operational business, but also the associated employment relationships. With the release, the employer position reverts to the original entrepreneur - even if they are in the middle of insolvency.<\/p>\n<p data-start=\"3497\" data-end=\"3629\">That was certain:<br data-start=\"3514\" data-end=\"3517\" \/><strong data-start=\"3517\" data-end=\"3629\">The action should have been directed against the entrepreneur as the debtor, not against the insolvency administrator.<\/strong><\/p>\n<h3 data-start=\"3631\" data-end=\"3685\"><span class=\"ez-toc-section\" id=\"Was_bedeutet_das_fur_Arbeitnehmer_und_Arbeitgeber\"><\/span>What does this mean for employees and employers?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p data-start=\"3686\" data-end=\"3965\">Such cases show how quickly the wrong addressee can be caught out in practice. The risk is particularly high when a self-employed activity is released from the insolvency estate. If you make the wrong claim here, you risk losing valuable time - and sometimes the entire process.<\/p>\n<p data-start=\"3967\" data-end=\"4013\">The following can be taken away for practical use:<\/p>\n<h4 data-start=\"4015\" data-end=\"4054\"><span class=\"ez-toc-section\" id=\"Worauf_Arbeitnehmer_achten_sollten\"><\/span>What employees should look out for<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<ul data-start=\"4055\" data-end=\"4312\">\n<li data-start=\"4055\" data-end=\"4123\">\n<p data-start=\"4057\" data-end=\"4123\">Check whether the insolvency administrator has authorised the activity.<\/p>\n<\/li>\n<li data-start=\"4124\" data-end=\"4195\">\n<p data-start=\"4126\" data-end=\"4195\">If yes: The <strong data-start=\"4139\" data-end=\"4152\">Debtor<\/strong> is once again the responsible employer.<\/p>\n<\/li>\n<li data-start=\"4196\" data-end=\"4312\">\n<p data-start=\"4198\" data-end=\"4312\">The action must then be brought against the debtor - even if the cancellation was declared before the release.<\/p>\n<\/li>\n<\/ul>\n<h4 data-start=\"4314\" data-end=\"4365\"><span class=\"ez-toc-section\" id=\"Was_Arbeitgeber_bzw_Schuldner_beachten_mussen\"><\/span>What employers and debtors need to consider<span class=\"ez-toc-section-end\"><\/span><\/h4>\n<ul data-start=\"4366\" data-end=\"4620\">\n<li data-start=\"4366\" data-end=\"4453\">\n<p data-start=\"4368\" data-end=\"4453\">A release in accordance with Section 35 (2) InsO means responsibility - also in terms of labour law.<\/p>\n<\/li>\n<li data-start=\"4454\" data-end=\"4518\">\n<p data-start=\"4456\" data-end=\"4518\">Employment relationships that have already been established \u201emigrate\u201c back with them.<\/p>\n<\/li>\n<li data-start=\"4519\" data-end=\"4620\">\n<p data-start=\"4521\" data-end=\"4620\">A release does not result in a legal vacuum; rather, it means a return to responsibility.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"4622\" data-end=\"4648\"><span class=\"ez-toc-section\" id=\"Ein_Bild_zum_Abschluss\"><\/span>A picture at the end<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p data-start=\"4649\" data-end=\"5078\">You could say that insolvency manages the company like a house that is suddenly placed under the care of the state. However, if the insolvency administrator releases part of the house - let's say the workshop on the ground floor - then the original owner is once again the landlord.
